CSRC established the Corporate Sustainable Committee during the 20th meeting of the 18th Board of Directors on December 20, 2023. The main purpose of this committee is to establish a sound corporate governance structure, implement corporate social responsibility, and manage the company's sustainable operations. The committee aims to promote various sustainability/ESG action plans, with the expectation of driving the industry's sustainable low-carbon transformation and creating a better living environment for future generations.
In accordance with the company's Corporate Sustainable Development Committee Charter and Article 27 of the Corporate Governance Best Practice Principles for TWSE/TPEx Listed Companies, the company has formulated the Corporate Sustainable Development Committee Organizational Procedures to ensure compliance. Externally, the committee is responsible for reviewing the sustainability report and identifying sustainability issues of concern to stakeholders. Internally, it is responsible for formulating the company's sustainability policies, key performance indicators for various functional groups, goals, plans, and reviewing execution performance. The committee operates regularly and periodically reports to the Board of Directors on the planning and implementation of the policies and goals it has established.
The number of members, term of office, duties, and rules of procedure of this committee shall be in accordance with the regulations of the company. To enhance the overall practice of the company's sustainable operations, this committee shall assist the Board of Directors in developing and recommending matters related to the organization and management of the Board, in order to strengthen the functions of the Board. The committee shall lead the company in identifying significant ESG (Environmental, Social, and Governance) issues, managing ESG risks, and seizing ESG opportunities, thereby helping the company create long-term sustainable value and laying the foundation for sustainable operations. The committee is also committed to the implementation of the company's sustainable operations in the areas of environment, society, and corporate governance.
This committee shall be appointed by the Board of Directors and consist of at least three members, with more than half of them being independent directors. One member shall be selected as the chairperson to act as the convener. The term of office of the committee members shall be the same as that of the appointing Board of Directors. In the event of a vacancy that results in the number of members falling below the required number or the number stipulated in the articles of association, the Board of Directors may appoint a replacement.
